Terms of Use

1. Agreement

Ausdal Value Navigator (“the tool”) is operated by Ausdal Financial Partners (“Ausdal”, “we”, “us”). It was built and is hosted for Ausdal by Idea Engine LLC, a Wisconsin limited liability company, as Ausdal’s service provider. These Terms of Use are an agreement between you and Ausdal. By ticking the box when you sign in, or by using the tool, you agree to them and acknowledge the Privacy Policy and the Disclosures. If you do not agree, do not use the tool.

2. Who may use it

You must be at least 18, located in the United States, and a financial professional (or someone authorised by one) using the tool to assess a practice you own, operate or are authorised to evaluate. If you use it for a firm, you confirm you are allowed to share that firm’s information.

3. Price

The tool is free. There are no fees, subscriptions or payments.

4. Your account

You sign in with a one-time link sent to your email address, so keep that mailbox secure. Each account is for one person. Give accurate information, and tell us at support@idea-engine.studio if you think someone else has used your account.

5. What the results are, and are not

This is an estimate, not an appraisal. Your result is generated automatically from the figures you enter and is intended for planning and self-assessment only. It is not a formal valuation, an offer to purchase, or a commitment by Ausdal Financial Partners. It is not a certified or qualified appraisal (for example under USPAP or the AICPA or NACVA valuation standards) and it is not a fairness opinion. Do not use it for tax, estate or gift, SBA-loan, litigation, or buy-sell agreement purposes, or to set a price in any transaction. Using this tool does not create an advisory, fiduciary, or client relationship with Ausdal Financial Partners or Idea Engine LLC. Results rely entirely on self-reported figures that no one has verified.

The multiples, factor weights and tax assumptions behind the results are illustrative and are still being reviewed by Ausdal. Tax figures are simplified, federal-only illustrations, not tax advice. Talk to a qualified appraiser, CPA, attorney or other adviser before you make any decision.

Ausdal Financial Partners has a financial interest in what you do next. It may use your results to contact you, and it may seek to recruit you or your practice, or to acquire, finance, or help transition your practice. The estimate is not an offer to buy and is not a recommendation to sell, move, or affiliate.

6. Acceptable use

You agree not to:

  • enter information about a practice you are not authorised to evaluate, or personal information about your clients (such as names, account numbers or Social Security numbers). The tool asks only about your practice as a whole;
  • enter a website into Build Your Brand unless it is yours or you control it;
  • scrape, copy or harvest the tool’s content or methodology, or use bots or scripts to access it;
  • reverse engineer it, probe or test its security, bypass its limits, or interfere with its operation;
  • use it for anything unlawful, misleading or harmful.

7. Your information and your reports

You keep ownership of the information you enter. You give Ausdal, and Idea Engine LLC as its service provider, permission to store and process it to provide the tool, and give Ausdal permission to use it to follow up with you as described in the Privacy Policy. You may use the reports the tool produces for your own planning. If you share a report, you are responsible for how it is used and for passing on its disclaimers.

8. Our property

The tool, its software, design, text, methodology and the Ausdal name and logos belong to Ausdal and its licensors, including Idea Engine LLC. We give you a limited, personal, non-transferable, revocable right to use the tool under these terms. Nothing else is licensed to you.

9. Disclaimer of warranties

The tool and every result are provided “as is” and “as available”. To the fullest extent the law allows, Ausdal and Idea Engine LLC disclaim all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. We do not promise the tool will be uninterrupted, error-free, or available at any particular time.

10. Limitation of liability

To the fullest extent the law allows, neither Ausdal nor Idea Engine LLC will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or the value of any transaction, arising from your use of the tool or reliance on any result, even if told such damages were possible. Their total liability for any claim relating to the tool is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limits, so they may not all apply to you.

11. Indemnity

You agree to defend and indemnify Ausdal and Idea Engine LLC against claims, losses and costs (including reasonable legal fees) arising from information you enter that you had no right to enter, your breach of these terms, or your misuse of the tool or its results.

12. Ending your use

You can stop using the tool and delete your account at any time from your account page. We may suspend or close an account that breaks these terms, and we may change or discontinue the tool. Sections 5 and 7 to 13 survive.

13. Governing law and disputes

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. Any dispute will be decided exclusively in the state or federal courts located in the State of Wisconsin, and you and Ausdal consent to their jurisdiction.

14. Changes to these terms

We may update these terms. The date at the top shows when they last changed. If a change is material, we will ask you to accept the new terms the next time you sign in or use the tool.

15. General

These terms, the Privacy Policy and the Disclosures are the whole agreement between you and Ausdal about the tool. If any part is unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer these terms; Ausdal may transfer them to a successor. Idea Engine LLC may rely on sections 9 to 11.
